The Management Board of Quantum software S.A. with its registered office in Cracow (“the Issuer”) hereby announces that it has decided to commence the review of strategic options (“the Review”) aimed at identifying possible development directions of the Issuer. The result of the review will be the assessment of possible development paths and a series of actions aimed at maximising shareholder value.
The Issuer is considering a number of possible strategic directions which, in particular, may imply the acquisition of a strategic or financial investor and result in a change in the Issuer’s shareholding structure. However, the Issuer does not guarantee that the Review will lead to any transaction that changes this structure.
The decision to undertake the Review is based on the signals of interest that the Issuer has received from potential investors. These signals have arrived without the Issuer taking any initiating action. However, no decision related to the aforementioned selection of a strategic option has been made and it is uncertain if and when it will be made.
The Issuer’s Management Board plans to enter into an agreement with a consulting entity to support it in conducting the Review.
During the Review, the Issuer will continue to implement its current strategy and action plans.
Any updates regarding the Review will be communicated to the public in accordance with applicable laws.
