Legal basis: Art. 56 section 1 point 2 of the Act on Public Offering – current and periodic information
The Management Board of Quantum software SA (“Issuer”, “Company”), in connection with the allocation of series E ordinary bearer shares with a nominal value of PLN 0.50 (say: fifty) each, issued as part of increasing the Company’s share capital within the capital target and offered as part of a private subscription in connection with the implementation of the Incentive Program in the tranche for 2020 for key employees and associates of the Company – about which the Management Board of the Company informed in the current report No. 10/2021 on December 7, 2021 – provides the following information on the subscription :
- The subscription was opened on November 22, 2021. The subscription ended on November 30, 2021.
- Series E shares were allocated on December 7, 2021.
- The subscription covers 50 000 series E shares with a nominal value of PLN 0,50 each.
- No reduction took place.
- As part of the subscription, subscriptions for 50 000 series E shares were made.
- As part of the subscription, 50 000 series E shares were allocated.
- The issue price at which the series E shares were acquired was PLN 5,00 per share.
- 7 persons subscribed for series E shares.
- Series E shares were allocated to 7 people.
- The shares were not acquired by underwriters.
- Value of the subscription: PLN 250 000,00.
- No costs of the issue of series E shares were incurred, therefore the average cost of the issue of series E shares was PLN 0.
- Series E shares were acquired in exchange for cash contributions.
