With reference to and in supplementation of message 19/2014 of 18 July 2014, the Quantum Software S.A. Management Board informs that on 5 August 2014 it received a notice from MINVESTA sp. z o.o. on registration of a direct buyer of Company shares in the Register of Entrepreneurs and creation of an entry in the brokerage account pursuant to Art. 69 of the Act of 29 July 2005 on public offering and conditions governing the introduction of financial instruments to organised trading and public companies. According to this notice:
MINVESTA sp. z o.o. with its registered office in Cracow was registered on 1 August 2014 by the District Court for Kraków-Śródmieście in Cracow, 11th Commercial Division of the National Court Register under no. KRS 0000518679.
As a result of the registration, a valid contribution in kind to the MINVESTA sp. z o.o. company was made by Quantum Assets sp. z o.o. consisting in Quantum Software S.A. shares. Further, we inform that on 28 July 2014, the provisions of the Quantum Assets sp. z o.o. and MINVESTA sp. z o.o. brokerage account entries were executed, as a result of which in the MINVESTA sp. z o.o. brokerage account an entry was made on the acquisition by MINVESTA sp. z o.o. of 222,979 Series B bearer shares of the Quantum Software S.A. company, which represents 15.06% of the total share in the Company share capital and gives the right to 222,979 votes at the General Meeting of Shareholders, which corresponds to 9,99% of the total number of votes.
MINVESTA sp. z o.o. owns 675,421 Series A bearer shares and 222,979 Series B bearer shares of the Company, which represents jointly 60,67% of the total share in the Company share capital and gives the right to 1,573,821 votes at the Company General Meeting of Shareholders, corresponding to 70.55% of the total number of votes. MINVESTA sp. z o.o. has no subsidiaries owning shares of the Company. MINVESTA sp. z o.o. has no intention to further increase its share in the total number of votes in the Company within 12 months as of submission of the present notice.
