11/2010 – Change of the regulation of share ? buy back program

Legal grounds: Art. 56 sec 1 p 1 of the Act concerning public tenders?confidential information.

Quantum software Management Board (?Issuer?) acting under authorization adopted on May 18,2009, resolution No 17 and 18 Annual General Meeting of Shareholders, the Management Board of the Company adopted on the April 29, 2010 change to the present Regulations of the Share Buy-Back Programme realized in QUANTUM SOFTWARE S.A.

6.  THE NUMBER OF PROGRAMME SHARES

6.1.    The number of Programme Shares bought back may not exceed in total, in the authorization period referred to in the Article 3.2 of the Regulations, the number of 86,000 (say: eighty six thousand) shares.
6.2.    The number of Programme Shares bought back by the Company on any single day of the Programme may not exceed 25% of average daily number of shares traded in WSE.
6.3.    The average daily number of shares traded in WSE is determined as the average daily number of Company’s shares traded in WSE in the last 20 session days immediately preceding each buy-back day.

6. THE NUMBER OF PROGRAMME SHARES

6.2.    The number of Programme Shares bought back by the Company on any single day of the Programme may not exceed 25% of average daily number of shares traded in WSE.
6.3.    The average daily number of shares traded in WSE is determined as the average daily number of Company’s shares traded in WSE in the last 20 session days immediately preceding each buy-back day.
6.4.    The Issuer, in cases of extreme low liquidity on the WSE, may exceed the 25% limit, mentioned in paragraph 6.2 provided that the following conditions are met:
a)    the issuer informs the Polish Financial Supervisory Authority , in advance, of its intention to deviate from the 25 % limit;
b)    the issuer discloses adequately to the public the fact that it may deviate from the 25 % limit; the issuer does not exceed 50 % of the average daily volume mentioned in paragraph 4.2
