The Management Board of Quantum software S.A. (?Issuer?) informs that he received from Brokerage House conducting the tender offer to subscribe for shares of Quantum software S.A. information about transaction implementing the records of people who responded on it. As a result of this transaction, a subsidiary Quantum Qguar sp. z o.o. has purchased 15 501 shares of the Issuer. That transaction was concluded under the public offer of 22nd of July 2016 (by a subsidiary company Quantum Qguar Ltd. seated in Cracow) to subscribe for the 235.000 shares (?the Offer?). The Offer was conducted according to art. 72 par. 1 item 1 of the act of 29 July 2005 on public offer and conditions for introducing financial instruments to the organized trading system, and on public companies (Dz. U. of 2009 No. 185, item 1439 as amended), and according to the Resolution no 19 of Company?s General Meeting of 25th of June 2015, (which pursuant to 362 § 4 of Commercial Companies Code also included agreement on the acquisition of own shares by subsidiary) as the purchasing entity was named the Quantum Qguar Ltd. Company.
The total nominal value of the purchased shares is 7 750,50 PLN and represent 1,05% of the share capital, which corresponds to 0,69 % of the total number of votes present at the Company?s General Meeting
The average purchase price amounted to 8,30 PLN. In total, the Issuer and the above mentioned subsidiary company has 180 817 own shares, which represent 12,21% of the share capital and corresponds to 8,10% of the total number of votes present at the Company?s General Meeting. The purchase of own shares was effected in Resolution no 19 of Company?s General Meeting of 25th of June 2015 authorizing the Management Board to acquire own shares for redemption (according to 362 § 1 item 5 of Commercial Companies Code) in conjunction with Resolution no 17 of Company?s General Meeting of 29th of June 2016 heightening to 3 million PLN the amount of funds allocated for this purpose.
