The Management Board of Quantum software S.A. (“Issuer”) hereby informs that today it received a notice from the Brokerge Firm who manages the tender offer regarding the shares of Quantum software S.A. with information about a transaction implementing the responses to the offer. As a result of that transaction, Minvesta sp. z o.o. acquired 54,512 shares in the Issuer’s capital. The transaction was carried out within a tender offer regarding 297,158 shares of the Company (“Tender Offer”) announced on 28 November 2016 by Minvesta sp. z o.o. (who represented the parties to the “Shareholder Agreement of 24 November 2016”).
The Tender Offer was carried out under Article 91(6) of the Act on Public Offering, Conditions Governing the Introduction of Financial Instruments to Organised Trading and Public Companies of 29 July 2005 (Journal of Laws of 2009 No. 185, item 1439 as amended).
The total par value of the acquired shares is PLN 27,256, and the shares represent 3.68% of the Company?s share capital and 2.44% of the voting rights at the Issuer’s General Meeting being. The average unit purchase price was PLN 9.00.
Before the Tender Offer was announced, the parties to the Agreement jointly held 1,002,782 shares of the Company, representing 67.72% of the Company?s share capital, with 1,752,782 voting rights at the Company’s General Meeting, which represented 78.57% of the total number of votes at the Company’s General Meeting.
As a result of today?s KDPW settlement of the share acquisition transaction arising from the Tender Offer, the Shareholders from the Agreement jointly hold 1,057,294 treasury shares, representing 71.40% of the share capital and giving the right to exercise a total of 81.02% of votes at a General Meeting.
