Management Board of Quantum software S.A. The (Company) informs that today, on the basis of the authorization contained in sec. X.a of the Company’s Articles of Association, which results from Resolution No. 5 of the Extraordinary General Meeting of the Company of December 16, 2019, adopted in the form of a notarial deed a resolution on increasing the Company’s share capital within the authorized capital (Resolution). Pursuant to the Resolution, the Company’s share capital is increased by PLN 25 000,00 through the issue of 50 000 new series E shares with a par value of PLN 0,50 per share. Series E shares will be ordinary bearer shares. The increase of the share capital of the Company through the issue of series E shares will take place through private subscription, in accordance with Art. 431 § 2 point 1 of the Commercial Companies Code.
The agreement for the subscription for series E shares will be concluded by 30 November 2021. The Management Board of the Company, with the consent of the Supervisory Board, determined the issue price of series E shares in the amount of PLN 5,00 per share. Series E shares will be paid for only in exchange for cash contributions that will be made before their registration. The Management Board will take all the necessary factual and legal actions aimed at admitting and introducing series E shares to trading on the regulated market of the WSE. In accordance with the content of the Resolution, the Management Board of the Company, with the consent of the Supervisory Board expressed in the form of a resolution adopted on October 1, 2021, completely excluded the pre-emptive right to series E shares vested in the existing shareholders.
