Tomasz Polończyk – Chairman of the Supervisory Board

Tomasz Polończyk has been working at Quantum Software S.A. since 1997, currently in the position of Individual Projects Director. Mr. Tomasz Polończyk performs his duties at the Issuer’s headquarters, where he holds the position of Individual Projects Director. Mr. Tomasz Polończyk does not report directly to the Company’s Management Board. His activities are of significant importance to the Issuer. From 1995 to 1996, he worked at Quantum Sp. z o.o. Krakow Branch as a programmer, from November 1994 to December 1994 he worked at Zakłady Metali Lekkich Kęty as a programmer, from 1993 to 1994 he worked as a director at Przedsiębiorstwo Handlowo-Usługowe “SLOT” in Oświęcim, and from 1991 to 1992 he worked at the University Computer Science Center of the AGH University of Science and Technology in Krakow as an IT specialist. Graduate of the AGH University of Science and Technology in Cracow, Faculty of Electrical Engineering, Automatics and Electronics.

Henryk Ludwik Gaertner – Vice Chairman of the Supervisory Board

Henryk Gaertner — attorney and medical doctor. A graduate of the Jagiellonian University in Cracow (medicine 1994, law 1997), Harvard University (AMDP 2016) and Stanford University (SEP 2019). Member of the Supervisory Board of Quantum Software S.A. since 1998, currently also a member of the supervisory board of GD&K Consulting sp. z o.o. (Cracow) and a member of the management boards of GD&K Group SCSp (Luxembourg) and Verma Investments Sàrl (Luxembourg). Formerly partner at Kubas, Kos, Gaertner – Adwokaci (Cracow, 2003-2015, currently Kubas Kos Gałkowski), associate at Weil, Gotshal & Manges (Warsaw 1999-2003), member of the supervisory board of “SYSTEM 3000” S.A. (Cracow, TECHMEX S.A. group, 1998-2002), lawyer at “Krzysztof Labe i Partnerzy” s.c. (Cracow, 1997-2000).

Leopold Kutyła – Member of the Supervisory Board

Leopold Kutyła has been self-employed since 1997. He has been a Member of the Supervisory Board – GDK Development S.A. since 1997, and was a Member of the Board of Directors of Nowa Kamienica Sp. z o.o. from 2002 to February 2007. From 1991 to 1997 he worked at Quantum Sp. z o.o. in Warsaw, and from 1990 to 1991 he worked at Thermoclim S.A, based in Warsaw. In addition, from 1973 to 1990 he worked at the Ministry of Foreign Affairs, from 1972 to 1973 he worked at the Center for Microelectronics in Warsaw, and from 1969 to 1972 he worked at the Atomic Research Institute. He graduated from the Technical University of Dresden, Department of Computer Science.

Marcin Buczkowski – Member of the Supervisory Board

Attorney Marcin Buczkowski is a graduate of the Jagiellonian University. Since 2002 he has been running an individual law firm. From 2005 to 2007 he was an associate attorney with Kubas, Kos, Gaertner – Adwokaci sp. p. Between 1998 and 2000 he worked in the real estate departments of Ahold Polska sp. z o.o. and Slovnaft Polska S.A. He specializes in real estate law, services for commercial companies and litigation law. His experience includes comprehensive services related to commercialization of commercial real estate and support of the investment process. At the request of Polish and foreign clients, he has prepared tax opinions on the optimization of real estate transactions and shares in companies. He has experience in servicing entities listed on regulated markets (WSE) and non-regulated markets (New Connect). He has repeatedly ruled in arbitration courts, including the Arbitration Court at the National Chamber of Commerce. He is fluent in English and Russian.

Andrzej Ruciński – Member of the Supervisory Board

Andrzej Ruciński is a graduate of the Higher School of Engineering Troops in Wroclaw and Postgraduate Studies at the Polish-French Insurance Institute. He has held many managerial and executive positions in reputable insurance companies, is a certified broker, and is currently the Director of the Cracow representative office of Akma Brokers.

Tomasz Mołata – Member of the Supervisory Board

Tomasz Mołata is a graduate of the AGH University of Science and Technology in Cracow, Faculty of Electrical Engineering, Automatics and Electronics, majoring in Computer Science. Mr. Tomasz has extensive professional experience. He began his professional path in 1992, working for 3 years at abcMED as a programmer. Then from 1995 to 1997 he worked at Quantum sp. z o.o. in Warsaw as a programmer. In 1997 he joined Quantum Software S.A. as a project manager, and then from 1999 as Deputy Production Director. Since 2014, he has been working at Quantum Qguar sp. z o.o. in a management position. In addition, since 1999 he has been a partner in Quantum Assets Sp. z o.o. and since 2004 he has been a partner in Q-Log GmbH.

Andrzej Walus – Member of the Supervisory Board

Andrzej Walus graduated with a master’s degree and a bachelor’s degree from the Cracow University of Economics (today – Cracow University of Economics), majoring in Management and Marketing with a specialization in “Accounting” (bachelor’s degree 1996, master’s degree 2000). From 1997 to 1998 he held the position of Senior Accountant, as Head of the Costs Department at Ahold & Allkauf Polska sp. z o.o.. Then, as Deputy Head of the Accounting Department from 1998 to 1999, he held the position at Carrefour Polska sp. z o.o. From 1999 to today, Mr. Andrzej has served as Chief Accountant, until 2004 at Biuro Inżynierskie INES sp. z o.o., and currently, since 2004, he has been Chief Accountant and President of the Management Board of Grupa Księgowość Polska. Mr. Andrzej, in addition to his authorization for bookkeeping service providers, also boasts a trustee’s license.

Affiliation of Supervisory Board members with a shareholder holding not less than 5% of the total number of votes at the company’s General Meeting.

The dominant shareholder in Quantum software S.A. is Quantum Assets sp. z o.o., seated in Cracow, holding 675,421 registered shares of series A preferred as to voting rights and 295,491 ordinary bearer shares of series B, C and D, accounting in total for 71.13% of its share capital and entitling to 1,646,333 votes at the company’s general meeting, i.e. 77.84% of the total votes.

The Quantum software SA Management Board under declarations of the Supervisory Board members informs as following:

  • Mr. Leopold Kutyła, Chairman of the Supervisory Board, is not related to a shareholder holding not less than 5% of the total number of votes at the Company’s General Meeting.
  • Mr. Tomasz Polończyk, Vice-Chairman of the Supervisory Board, holds 14,010 shares in Quantum software S.A., which gives him a 0.96% stake in the votes of the Issuer, and holds an 8.24% stake in the votes of the Issuer’s parent company.
  • Mr. Andrzej Ruciński, Member of the Supervisory Board, is not related to a shareholder holding not less than 5% of the total number of votes at the Company’s General Meeting.
  • Mr. Henryk Gaertner, Member of the Supervisory Board, holds 954 shares in Quantum software SA. which gives him a 0.04% share in the voting rights of the Issuer and holds a 10.74% share in the voting rights of the Issuer’s parent company.
  • Mr. Marcin Buczkowski, Member of the Supervisory Board, is not related to a shareholder holding not less than 5% of the total number of votes at the Company’s General Meeting.
  • Mr. Tomasz Mołata, Member of the Supervisory Board, holds 2,265 shares in Quantum software SA, which gives him a 0.11% share in votes at the Issuer’s General Meeting of Shareholders and holds a 5.03% share in votes at the Issuer’s parent company.
  • Mr. Andrzej Walus, Member of the Supervisory Board, is not related to a shareholder holding not less than 5% of the total number of votes at the Company’s General Meeting.
